Partner agreement

This agreement is between you and Social Points Media LLC ("SPM", "we"), 2524 N Broadway #625, Edmond, OK 73034. It covers referrals to every SPM product listed in your portal (currently Texttive, CrexiPay and Chattiv). Applying creates no obligation on either side until we approve your account.

1. What you earn

For each business that signs up through your link and pays, you earn the percentage shown for that product on every payment it makes for 12 months from signup. Commissions are calculated on net amounts after refunds and processor fees are excluded. Rates may change for future referrals with 30 days' notice; existing referrals keep their rate.

2. When you get paid

A commission is pending until the product's refund window has passed (shown per product; typically 30 days), then available. Available balances of at least $50.00 are paid by PayPal within five business days of a payout request, or in our monthly run. Refunds and chargebacks reverse or claw back the related commission.

3. Tax

You are an independent contractor, not an employee or agent. Before your first payout you provide a W-9. SPM issues a 1099 for payments that meet the IRS reporting threshold. You are responsible for your own taxes.

4. How you may promote

• Disclose your relationship with SPM wherever you share a link, as the FTC requires ("affiliate link", "I earn a commission").
• No self-referrals, no referring businesses you own or control, no referring existing customers of the product.
• No paid search on SPM or product brand names or misspellings, and no pretending to be SPM or a product.
• No spam, no cookie stuffing, no incentivised or forced clicks, no misleading claims about features, pricing or results.
• No promotion to audiences in prohibited categories for the products (for example content the carriers forbid for text messaging).

5. Our side

We track clicks, signups and payments honestly and show them to you in near real time. We may hold a payout while we investigate activity that looks like a breach, and we may close accounts that breach these terms, forfeiting unpaid commissions from that activity. Either side may end the agreement at any time; earned, non-breaching commissions are still paid.

6. The rest
